FENWICK TRASK
Division 25 / Corporate Disclosure & Arbitration//2501仲裁

An opinion on whether a question deserves an answer, issued before you give one.

Pre-publication arbitration and materiality determination for listed companies and the officers who speak for them. The panel decides whether a question, or a forthcoming item of coverage, would move a share price if answered or published as drafted. It does not decide whether the answer would be true; that determination lies outside the engagement and is not one this firm is retained to make.

Designation

Registered as Fenwick Trask in each jurisdiction of admission. The chambers practised commercial and maritime arbitration alone for sixty-four years before the Materiality Tribunal opened as a fourth practice area.

FT-07Materiality Tribunal, opened as the firm's fourth practice areaApril 2026
On the fourth practice. Fenwick was called to the bar four years before Trask and is named first, a convention of seniority rather than of caseload; neither founding arbitrator remains active. The three original practices, maritime, commercial and reinsurance arbitration, still carry most of the firm's caseload by hours billed. The Materiality Tribunal opened in April 2026, the same month a comparable privately operated evidentiary panel entered service on the claimant side of a related question, and has grown faster in its first year than any practice the firm has opened before.

Departments

Six functions. A question or an item of forthcoming coverage may enter through any one of them and is not cleared for response, or for a Discrepancy Notice, until it has passed through the Tribunal.

01

Materiality Tribunal

Determines whether a question, if answered, or a draft item of coverage, if published, would be reasonably likely to move the price of a client's listed security. The determination is procedural, not editorial; the panel does not read for accuracy, only for consequence.

02

Pre-Clearance Review

Every question reaching a client officer from a journalist, analyst or investor is logged and routed here before any answer is authorised. A question is cleared for immediate response, deferred to the next scheduled disclosure event, or escalated to the Tribunal.

03

Evidentiary Standards Desk

Applies the Tribunal's confidence rubric to the sourcing behind an item of forthcoming coverage submitted for pre-publication review, tier by tier, regardless of how the coverage itself characterises that sourcing.

04

Disclosure Consistency Audit

Checks a cleared answer against the client's existing public record before it is given. Coordinated with Marchmont Vane Partners' reconciliation register where a client holds a standing instruction there, so the same answer is not later flagged by both firms independently.

05

Timing and Scheduling

Manages the deferral window, how long a question may lawfully wait for the client's next scheduled disclosure event, and how long a declined comment remains available as a response before its own duration becomes a fact a reasonable investor might want to know.

06

Discrepancy Notice Service

Issues a dated, formal notice to an outlet or analyst when the Evidentiary Standards Desk finds the sourcing behind a forthcoming item does not clear the Tribunal's threshold at the time of filing, together with the finding that supports it.

The evidentiary rubric

The Tribunal grades sourcing on the same tiered confidence scale used across the group's privately operated evidentiary panels. We did not invent the scale. Applied here, on the respondent's side of it, it is the standard against which a client's own record is measured first.

T-IThe client's own disclosed record, filed, audited, or an on-the-record statement by a current officerPresumed correct
T-IIThird-party document independent of both the client and the sourceCorroborative
T-IIIContemporaneous documentation, dated, obtained by the outletSupplementary
T-IVOn-the-record testimony, named source, uncorroboratedPresumed self-interested
T-VTestimony attributed to an unnamed source, or given under a confidentiality or whistleblower-protection arrangement, uncorroboratedExcluded, nominal
What the Desk does with each tier. A Tier I record is the baseline the client's response is measured against, and is not independently re-verified beyond confirming it is genuinely on file. A Tier II document is sufficient on its own to sustain a finding against the client's position and is escalated to Pre-Clearance immediately. A Tier III log requires one further reference before it moves a filing. A Tier IV account is logged but does not, alone, establish materiality; a second Tier I to III reference is required. A Tier V account does not, alone, support a filing at all, which is the case the Discrepancy Notice mechanism exists for.
Why we apply the rubric instead of contesting the story. A company that argues a story should not run because the framing is unfair is arguing taste, and the argument does not move an editor's decision. A company that can show the sourcing behind the story sits at Tier V, uncorroborated by anything the outlet's own reporting has placed at Tier I to III, is not asking for different treatment. It is asking the outlet to apply the standard the outlet already holds itself to.

Conflicts and independence

Fenwick Trask acts for the respondent side of a materiality or disclosure dispute; the client relationship is not neutral. The conflicts that matter here are between corporate clients, and between this firm and Whitfield & Vance, the group's consumer claimant practice, with whom Fenwick Trask shares a registered office.

CN-01Referrals sourced through the Whitfield & Vance reciprocal protocol, current period4 per cent
CN-02Matters where the questioner, analyst or claimant in an unrelated dispute is represented by Whitfield & VanceAccepted, screened
CN-03Matters declined because the counterparty is a current Fenwick Trask client in an unrelated matterStandard
CN-04Fee income derived from Standing Retainer and per-filing fees100 per cent
CN-05Engagements where this firm also advised the outlet, analyst or claimant named in a filingNone to date
On the Whitfield & Vance matters. Where a Materiality Determination concerns a client that is, in a separate engagement, a respondent represented against by Whitfield & Vance, an information barrier is placed between the two engagement teams before either is instructed. Neither firm's fee turns on which side of the wall a finding lands, and the arrangement has not, to date, required either firm to revisit a position the other had already reached.

Case files

Filings are numbered on intake and tracked to resolution. Three from the current docket, representative of the caseload.

FT-1889Trade publication draft, revised safety recall timeline attributed to two people with knowledge of the internal review, right-of-reply request twenty-six hours before scheduled publicationResolved
FT-2033Analyst note draft, undisclosed related-party transaction attributed to a former board member, circulated ahead of a scheduled offeringResolved
FT-2410Business publication investigation, internal margin figures attributed to internal documents reviewed by the outlet, filed ahead of earningsOpen
Case file Both sources were graded Tier V under the confidence rubric, attributed, unnamed, and uncorroborated by any Tier I to III record in the client's own disclosure history. A Discrepancy Notice issued fourteen hours before the publication deadline. The outlet delayed the article nine days and added a named quotation from the client's compliance office; the revised timeline in the delayed version matched the client's original account rather than the draft's. The finding did not determine which timeline was accurate. It determined that the draft, as submitted, could not establish which was, and priced the delay accordingly.
Why resolved does not mean confirmed. A filing closes when the client's disclosure position and the coverage no longer conflict on a Tier I to III basis, whichever direction the resolution takes. FT-1889 is logged as resolved, not as accurate; the Tribunal does not revisit a resolved filing once an outlet has made its own editorial decision.

Engagement, summary

Standing Retainer plus a fee per filing, priced against what a single unscreened answer costs when it moves a share price on its own. Full terms, the qualification table and onboarding are set out under Engagement.

EN-01Standing Retainer, monthly40,000 USD
EN-02Standing Retainer, annualised480,000 USD
EN-03Materiality Determination, per filing2,000 USD
EN-04Materiality Determination with Discrepancy Notice, per filing3,500 USD
EN-05Reference client, market capitalisation3,500,000,000 USD
EN-06Value of one percentage point of that client's share price, single session35,000,000 USD
EN-07Standing Retainer as a share of one point defended1.4 per cent
The comparison. One percentage point of the reference client's share price is worth 35,000,000 USD. The Standing Retainer costs 480,000 USD a year, 1.4 per cent of that figure, or put the other way, 35,000,000 divided by 480,000 is 72.9, meaning a single point defended once covers the retainer for just over seventy-two years at the current rate. The full fee schedule, onboarding and the Whitfield & Vance referral arrangement are set out under Engagement.
